How much of my ESPP stock sale is wages, and what is my adjusted basis?

Calculate wages and capital gain or loss for a single qualified Section 423 ESPP sold lot. Enter grant, purchase and sale dates with Form 3922 values or a supported discount rule. The calculation separately tests ESPP qualification and capital-gain holding period, then adds compensation to basis to avoid double counting it.

How this calculation works

  • Validate dates and qualified-plan pricing, including the statutory grant-date discount range.
  • Require both grant and purchase holding tests for a qualifying disposition.
  • For qualifying sales use the lesser grant-discount/positive-sale-spread compensation amount; otherwise use the purchase-date spread.
  • Add wages to cost basis, subtract selling fees from proceeds, and report the remaining capital gain or loss.
  • Determine capital-gain character independently from ESPP disposition qualification.

Common mistakes and caveats

  • One sold lot only; split lots, basis adjustments, wash-sale disallowance and corporate actions require additional records.
  • Qualifying-plan treatment and FMVs must be independently verified; Form 3922 is not a substitute for W-2 and broker basis reconciliation.
  • No compensation-withholding, AMT, gift/death transfer, conflict-of-interest exception or nonqualified-plan calculations.
  • No new indexed year amounts are needed for this income-character calculation; dates determine the historical holding period.

FAQ

Which holding periods make an ESPP sale qualifying?

The sale must occur strictly more than one year after the stock purchase/transfer and strictly more than two years after the option grant. The exact anniversary is not enough in this calculator. It displays both anniversary dates so you can check the trade date.

How are wages calculated for a qualifying disposition?

Wages are the smaller of the grant-date discount and the excess of sale FMV over actual purchase price, but never below zero. The grant-date hypothetical exercise price is taken from the plan or Form 3922, not automatically substituted with a lower later purchase price.

Can a disqualifying sale report wages even when I lost money?

Yes. Its compensation is purchase-date FMV minus purchase price without a sale-gain cap. Adding those wages to cost can produce a capital loss when shares later decline. That loss has separate capital-loss deduction and carryover rules.

Can a disqualifying sale still have a long-term gain?

Yes. You might hold the shares more than one year but sell before more than two years have passed from grant. The ESPP sale is disqualifying, while its capital gain or loss can be long-term.

Which Form 3922 boxes should I use?

Use grant and exercise FMVs, actual exercise price, grant/transfer dates, and the exercise price determined as if exercised on the grant date. The last price is especially important for variable-price and lookback plans. Reconcile with your administrator's records.

Does this calculate withholding or my full ESPP tax bill?

No. It reports income character and basis for an arm's-length stock sale, not a final return or mandatory payroll withholding. Nonqualified plans, gifts, death transfers, special exceptions and ambiguous February 29 anniversaries are blocked.
